SECTION 1.2

Description of the concentration

The proposed concentration consists in the creation of two Czech based full-function joint ventures, PRE FVE Nové Sedlo, s.r.o. and Solarpark Nové Sedlo s.r.o., by two Czech based companies, PREměření, a.s. and SUAS Clean Energy s.r.o. The joint ventures will each develop, construct and operate a photovoltaic power plant in the Czech Republic.

PREměření, a.s. is active mainly in the area of services related to the purchase, installation, verification and reading of energy measuring devices and generation of electricity in photovoltaic and wind power plants. PREmereni, a.s. is part of the PRE Group which is a power industry holding whose main business activities are focused on electricity and gas wholesale as well as retail markets, electricity generation and related supplementary services.

SUAS Clean Energy s.r.o. is active mainly in the area of generation of heat and electricity from natural gas and other renewable sources. SUAS Clean Energy s.r.o. is part of the SUAS Group which is active mainly in energy and heating industry, circular economy, real estate business and development, and mechanical engineering. SUAS Group is structurally connected to SU Group which is one of the independent Czech power producers and the smallest lignite mining Company.
