SECTION 1.2

Description of the concentration

The notified concentration relates to the acquisition by the Cerberus Group, via its wholly-owned subsidiaries Promontoria Holding XIX B.V. and Toro US Newco Corp. (US), of sole control of Torex Retail PLC's ("Torex") business by means of the acquisition of 100% of the share capital of all operating subsidiaries of Torex as well as certain assets of Torex.

The business activities of the undertakings concerned are:

-- The Cerberus Group: investment in real property and personal property of all kinds, including but not limited to capital stock, depositary receipts, investment companies, mutual funds, subscriptions, warrants, bonds, notes, debentures, options and other securities of different kinds and nature in diverse industries worldwide.

-- Torex: provider of retail-store related software and services including electronic point of sale ("EPOS") software, workforce management, business intelligence and merchandising planning systems as well as installation services, helpdesk and field engineering.
