SECTION 1.2

Description of the concentration

1. The proposed concentration concerns the acquisition of Guadarranque Polyester, S.L.U. (Target) by Indorama Netherlands B.V. (Indorama).

2. Indorama carries out activities in the field of the production and supply of polyethylene terephthalate (PET) resin, PET preforms and PET bottles. PET resin and PET preforms are used to manufacture packaging materials for carbonated soft drinks, water, energy drinks, iced tea, juices and other beverages and liquids. Furthermore, Indorama is active in the field of the production and supply of purified terephthalic acid (PTA), a raw material used in the production of polyester and PET products. Finally, Indorama manufactures and supplies polyester textile chips, staple fibres, filament yarns, worsted wools and high value add specialty polyesters and fibres.

3. Target produces and supplies PTA, purified isophthalic acid (PIA) and PET-resin.
