SECTION 1.2

Description of the concentration

The Proposed Transaction constitutes the acquisition of all shares in and sole control over Currenta GmbH & Co OHG and Currenta Geschäftsführungs-GmbH, including a transferred real estate portfolio from Bayer, by InfraChem Holdings S.à r.l., a consortium vehicle which is (indirectly) managed by Macquarie Infrastructure and Real Assets (Europe) Limited ("MIRA").

Currenta GmbH & Co. OHG manages and operates integrated chemical parks with sites in Leverkusen, Dormagen and Krefeld-Uerdingen. Currenta Geschäftsführungs-GmbH is a general partner of Currenta GmbH & Co. OHG.

MIRA is part of the Macquarie Infrastructure and Real Assets division of Macquarie Group Limited. Macquarie Group Limited is a global provider of banking, financial, advisory, investment and fund management services based, listed on the Australian Stock Exchange.
