SECTION 4

Description of the concentration

On 9 August 2024, a company incorporated in Italy (“GG6 S.r.l.”), controlled by investment entities directly or indirectly managed and/or advised (including through intermediaries and funds) by Platinum Equity Advisors, LLC and ultimately controlled by Platinum Equity, LLC (collectively with its affiliates, “Platinum Equity Group”) entered into a Sale and Purchase Agreement (“SPA”) with Vi.Sar.Im S.r.l., Tema S.r.l., and Marco Fraccaroli, as direct sellers and with Margherita Polli, Maddalena Bobba, Matteo Alessandro Bobba, Manuela Polli, Marco Polli, and Claudia Polli, as indirect sellers (hereinafter jointly referred to as the “Sellers” and each a “Seller”), pursuant to which Platinum Equity Group will indirectly own a majority stake and will exercise sole control over Fratelli Polli S.p.A. (“Target” or “Fratelli Polli”).

The transaction concerns the proposed acquisition of sole control over Fratelli Polli by Platinum Equity Group (each a “Party” and together “the Parties”) within the meaning of Article 3(1)(b) of the EUMR (the “Proposed Transaction”).
