− The European Commission received a notification of a proposed transaction pursuant to Article 4 of the EU Merger Regulation by which DENSO Corporation (“DENSO”) will acquire sole control, within the meaning of Article 3(1)(b) of the EU Merger Regulation, of Fujitsu Ten Ltd. (“Fujitsu Ten”).
− DENSO is a supplier of advanced automotive technology, systems and components for automobile manufacturers. It develops, produces and sells: (i) engine control systems, hybrid and electric car drive systems, power supply and starting system parts; (ii) air-conditioning systems for cars, buses and trucks, air purifiers and cooling systems; (iii) products and services regarding information & safety of vehicles; (iv) electronics, sensors and engine control computers; (v) small motors such as windshield wiper systems, power steering and cooling fans; and (vi) non-automotive consumer products such as industrial robots and water heaters;
− Fujitsu Ten is a supplier of advanced automotive technology, systems and components for automobile manufacturers. Fujitsu Ten develops, produces and sell (i) automotive safety & security systems such as radars, sensors and remote control systems; (ii) automotive comfort & convenience systems such as navigators, audio and remote engine starter systems; and (iii) automotive systems to address environmental issues such as hybrid module electronic control units.
