SECTION 1.2

Description of the concentration

The notified transaction involves the proposed acquisition by funds managed by Bain Capital Investors, L.L.C. (“Bain Capital”) and funds managed by Vista Equity Partners Management, LLC (“Vista”) of joint control of Vertafore, Inc. (“Vertafore” or “Target”)(together with Bain Capital and Vista, the “Parties”) (the “Proposed Transaction”) within the meaning of Article 3(1)(b) of the EU Merger Regulation.

As a result of the Proposed Transaction, funds managed by Bain Capital and funds managed by Vista will have joint control of Vertafore within the meaning of Article 3(1)(b) of the EU Merger Regulation.

Bain Capital is a private equity investment firm that invests, through its family of funds, in companies across most industries, including information technology, healthcare, retail and consumer products, communications, financial and industrial/manufacturing.

Vista is a private equity firm focused on investments in software, data and technology-enabled businesses.

Vertafore is a U.S. based supplier of software for the insurance industry in the USA.
