SECTION 1.2

Description of the concentration

1.1. Provide an executive summary of the concentration, specifying the parties to the concentration, the nature of the concentration (for example, merger, acquisition, or joint venture), the areas of activity of the notifying parties, the markets on which the concentration will have an impact (including the main affected markets), and the strategic and economic rationale for the concentration.

1.2. Provide a summary (up to 500 words) of the information provided under Section 1.1. It is intended that this summary will be published on the Commission’s website at the date of notification. The summary must be drafted so that it contains no confidential information or business secrets.

1.1. This notification relates to a proposed concentration pursuant to Article 4 of Council Regulation 139/2004. EADS Defence & Security SAS and Atlas Elektronik GmbH intend to create, within the meaning of Article 3(4), 3(1)(b) of Council Regulation 139/2004, a joint venture performing on a lasting basis all the functions of an autonomous economic entity and will acquire joint control over this joint venture.

2.2. EADS Defence & Security SAS and Atlas Elektronik GmbH will hold 60% and 40% in the newly created joint venture company, respectively. Atlas Elektronik GmbH will contribute its wholly owned subsidiary Atlas Maritime Security GmbH to the joint venture company, whereas EADS Defence & Security SAS will incorporate its wholly owned subsidiary Sofrelog SAS into the joint venture. EADS and Atlas will contribute their entire business activities in the area of maritime safety and security to the joint venture.

3. The business activities of the undertakings concerned are:

a.a. EADS Defence & Security SAS is a French company active in the segments aerospace, defence and related services. EADS Defence & Security SAS belongs to the EADS group of companies, which is also active in these sectors. Sofrelog SAS is active in maritime safety and security comprising

the segments vessel traffic services systems and coastal surveillance systems.

b.b. Atlas Elektronik GmbH, a joint venture between EADS Deutschland GmbH and ThyssenKrupp Technologies Beteiligungen GmbH, is a German company and system supplier for naval electronics. Atlas has a broad offering of sonars and sensors, command and control systems for submarines and surface combatants, mine countermeasures systems, unmanned underwater vehicles, radio and communications equipment and naval weapons and – to a lesser extent – systems for civilian applications, such as hydrographic systems. With its subsidiary Atlas Maritime Security GmbH, the company is active in maritime safety and security.

c.c. The joint venture, which will be located in Germany, will be active in maritime safety and security. The joint venture will have a subsidiary in France (Sofrelog SAS) and one in Germany (Atlas Maritime Security GmbH).
