Description of the concentration

On 8 November 2024, the Commission received notification concerning the proposed acquisition by funds managed by One Equity Partners Capital Advisors, L.P. (“OEP”) of sole control within the meaning of Article 3(1)(b) of the Merger Regulation of E. WINKEMANN GmbH (“E. Winkemann”), managed by FPCI Sino-French (MidCap) Fund, Equistone Funds, Eurazeo Funds and Fimanus UG haftungsbeschränkt (the “Transaction”). At closing of the Transaction, E. Winkemann will be owned 100% by funds managed by OEP.

• OEP is a middle-market private equity firm focused on transformative combinations within the industrial, healthcare and technology sectors in North America and Europe. It was founded in 2001, spun out of JP Morgan in 2015. Since its foundation, it has completed more than 400 transactions worldwide and manages assets for approximately USD 11 billion. OEP has its main offices at 510 Madison Avenue, New York, USA, and has further offices in Chicago, Frankfurt and Amsterdam.

• E. Winkemann is a manufacturer of precision stamped metal products primarily for the automotive industry. E. Winkemann’s core products include components for automotive powertrains, such as gearbox, axel gear, engine technology, chassis, and e-mobility solutions. E. Winkemann is headquartered in Plettenberg, Germany and in 2019 it opened a manufacturing facility in Kunshan, China.
