SECTION 4

Description of the concentration

Pfeifer & Langen GmbH & Co. KG, through Pfeifer & Langen International B.V., Doetinchem, the Netherlands, an indirect wholly owned subsidiary, intends to acquire joint control over ASNS Ingredient SIA, Latvia (“ASNS”) together with ASNS’ existing controlling shareholder Lauksaimniecības pakalpojumu kooperatīvā sabiedrība LATRAPS, Latvia (“LATRAPS”).

Pfeifer & Langen International B.V. has entered into an agreement with LATRAPS and ASNS under which it will acquire shares in ASNS from LATRAPS, leading to the acquisition of joint control over ASNS within the meaning of Article 3(1)(b) and Article 3(4) of the European Council Regulation (EC) No 139/2004 of 20 January 2004 (“EUMR”), while LATRAPS´ level of control will change from sole to joint control.

Pfeifer & Langen: Pfeifer & Langen GmbH and Co. KG and its subsidiaries (“Pfeifer & Langen Sugar Group”) are active in the production and distribution of industrial and retail sugar. Pfeifer & Langen Sugar Group is part of Pfeifer & Langen IHKG Group which is also active in the production and distribution of savoury snacks (via Intersnack Group) and meat and fish substitute products (primarily via Rügenwalder). Through joint ventures, Pfeifer & Langen IHKG Group also manufactures and distributes (instant) beverages (notably: instant coffee and coffee specialties, cocoa powder, tea, and teabased drinks), coffee capsule systems, dry milk powder, chocolate products/confectionary, food suplements, OTC pharmaceuticals and medicinal products as well as products from sugar beets.

ASNS: ASNS oversees the development and construction, and future operation of a pea protein isolate plant in Jelgavas, Latvia.

LATRAPS. LATRAPS is a Latvian agricultural service cooperative society that is wholly owned by 1,195 members, and provides its members assistance in growing, developing, and selling crops. LATRAPS also sells various agricultural products cultivated by its members in Europe and worldwide, including through intermediary traders.
