SECTION 1.2

Description of the concentration

The Commission has received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) 139/2004 by which Mondi AG ("Mondi") would obtain sole control over a part of the extrusion coating business (the "Target" or the "Target business", together with Mondi the "Parties") from Walki Group Oy (the "Seller" or "Walki"). The Mondi group is a packaging and paper group of companies. It is principally involved in the manufacture of packaging paper, converted packaging products (including corrugated packaging, industrial bags and flexible packaging) and uncoated fine paper. The Mondi group also produces films and laminates for consumer flexible packaging and converted consumer flexible packaging products, industrial bags, extrusion-coated and laminated protective materials, and siliconised release liner products (siliconising on paper, films and non wovens). Target is a part of Walki's industrial packaging division. Both Parties offer extrusion coating products. Extrusion coating can be described as the coating of a molten web of resin onto a substrate material. It is a versatile coating technique used for economic application of various plastics, notably polyethylene onto board, paper, aluminium foils or plastic films.
