The transaction involves the acquisition by DONG Energy Sales UK Limited, an indirect wholly owned subsidiary of DONG Energy A/S (“DONG”) of the whole of the issued share capital of Shell Gas Direct Limited (“Shell Gas Direct”) within the meaning of Article 3(1)(b) of the EU Merger Regulation.
DONG is an integrated energy group, majority-owned by the Danish State. It is principally active in the business of oil and gas exploration and production, power generation, electricity distribution, wholesale and retail supply of natural gas and electricity in Denmark and other areas in Northern Europe. Its activities in the UK consist principally of oil and gas exploration and production and renewable and gas-fired power generation. DONG is not currently active in the downstream market in the UK.
Shell Gas Direct is active in the supply of gas to non-domestic customers in the UK, providing gas to businesses, from small and medium sized enterprises to large industrial and commercial users.
The activities involved are sales of gas at upstream level and trading at the National Balancing Point (“NBP”) in the UK, and downstream supply of gas to non-domestic end-users.
The transaction is conditional on, inter alia, approval by the Commission under Council Regulation (EC) 139/2004.
