SECTION 1.2

Description of the concentration

On 10 May 2022, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 139/2004 by which Atlantia S.p.A. ("Atlantia") intends to acquire sole control, within the meaning of Article 3(1)(b) of the EUMR, over Yunex GmbH ("Yunex") from Siemens Mobility GmbH. The proposed concentration will be accomplished by way of purchase of shares.

Atlantia is an Italian holding company, having its place of establishment and registered office in Rome, at Piazza San Silvestro 8, 00187, and a long-term strategic investor mainly active in the provision of tolling and mobility services, as well as in the management of toll motorway and airport infrastructure under concession.

Atlantia operates in the mobility services mainly through Telepass S.p.A. and Abertis Infraestructuras, S.A.– the parent company of a group mainly active in the management of toll motorways in Spain and in France – and is active, to a limited extent, in the toll motorway business in Poland, through Stalexport Autostrada Malopolska. With regards to airport infrastructures, Atlantia controls Aeroporti di Roma S.p.A., and Aèroport de la Côte d’Azur.

Atlantia is listed on the Milan stock exchange and its main shareholder is Edizione S.p.A.– the ultimate parent company of a group of companies belonging to the Benetton family – through Sintonia S.p.A.

In fiscal year 2021, Atlantia was active in the following EEA countries: Austria, Belgium, Croatia, Denmark, France, Germany, Hungary, Ireland, Italy, Poland, Portugal and Spain.

Yunex is a German-based company, whose place of establishment and registered office is located at 81739 Munich, Otto-Hahn-Ring 6, which provides intelligent urban and interurban road traffic solutions.

In fiscal year 2021, Yunex was active in the following EEA countries: Austria, Belgium, Bulgaria, Croatia, Cyprus, Czech Republic, Denmark, Finland, France, Germany, Greece, Hungary, Iceland, Ireland, Italy, Lichtenstein, Lithuania, Luxembourg, Malta, Netherlands, Norway, Poland, Portugal, Romania, Slovakia, Spain and Sweden.
