SECTION 1.2
Description of the concentration
The Proposed Concentration concerns the acquisition of the entire share capital, and thus sole control, of Bonaldi Motori S.p.A. and Bonaldi Tech S.p.A. (jointly Bonaldi or Target) by Eurocar Italia S.r.l. (Eurocar), an indirect Italian subsidiary of Porsche Holding Gesellschaft m.b.H. (together with the Target, the Parties).
Eurocar is an Italian dealer ultimately controlled by Volkswagen AG, the parent company of the Volkswagen Group (VW Group).
Eurocar and the Target are mainly active in the retail distribution of new and used passenger cars and light commercial vehicles of the VW Group brands in Italy, retail distribution of OEM and non-OEM spare parts, as well as maintenance and repair services in Italy.
