SECTION 1.2

Description of the concentration

The Transaction involves the proposed acquisition by FSN Capital VI of sole control of OptiGroup AB ("OptiGroup"), Hygas B.V. ("Hygas"), BFG Packaging SRL ("BFG") and Trias Productie Holding B.V. ("TPC"), pursuant to Article 3(1)(b) of Council Regulation (EC) No 139/2004.

*FSN Capital VI is a private equity fund focusing on investments in the Nordics and DACH region.

OptiGroup is a one-stop-shop Business-to-Business distributor of facility, safety, foodservice, and packaging products mainly active in the Nordic region. OptiGroup is headquartered in Sweden.

Hygas is a one-stop-shop Business-to-Business distributor of hygiene products, medical (disposable) products, protective equipment and packaging materials. Hygas is headquartered in the Netherlands.

BFG is a manufacturer of high quality food packaging in the European market, primarily focusing on niche products used by the catering and food processing sectors. BFG is headquartered in Romania.

TPC and its subsidiary are stock-keeping wholesalers of packaging tapes, stretch- and wrapping films as well as various other packaging materials for customers. TPC is headquartered in the Netherlands.
