SECTION 1.2
Description of the concentration
The proposed concentration relates to the formation of a joint Venture ("JV") pursuant to Article 3 para 4 EU Merger Regulation by AGRANA Beteiligungs-Aktiengesellschaft, Austria (“AGRANA”), and RWA Raiffeisen Ware Austria Aktiengesellschaft, Austria (“RWA”). To this end AGRANA and RWA intend to bring AGRANA Juice (incl. subsidiaries) and Ybbstaler (incl. subsidiaries) under joint ownership of a newly formed holding company which will be jointly controlled by AGRANA and RWA in the meaning of Article 3 EUMR.
The main business activities of the undertakings concerned are:
-For AGRANA: sugar, starch and fruits.
-For RWA: agriculture, technical equipment, energy, building materials, building & gardening and services.
The JV will be active in the field of FJC, NFCJ, fruit purees, fruit aromas, fruit sweetness, juice compounds and related products.
