Description of the concentration

Cette notification concerne (i) un projet díacquisition par COLONY INVESTORS VII, L.P et COLYZEO INVESTORS, L.P de 1.400.000 actions dÈtenues par BUTLER CAPITAL PARTNERS et son fonds le FCPR France Private Equity III dans le capital de COLFILM, et (ii) la modification du pacte díactionnaires actuel, confÈrant un contrÙle conjoint de COLONY INVESTORS VII, L.P, COLYZEO INVESTORS, L.P et de MORGAN STANLEY sur COLFILM, et ses filiales HOLDINGS SPORTS & EVENEMENTS SA (HSE), PARIS SAINT-GERMAIN FOOTBALL SA (PSG), et SOCIETE D'EXPLOITATION SPORTS ET EVENEMENTS SA (SESE).

Les activitÈs des entreprises concernÈes sont les suivantes :

-- COLONY INVESTORS VII, L.P et COLYZEO INVESTORS, L.P : gestion de fonds díinvestissement,

-- MORGAN STANLEY : activitÈs bancaires et financiËres,

-- COLFILM : gestion, par le biais de ses filiales PSG et SESE, díun club franÁais de Football Professionnel et díun stade.

LíopÈration envisagÈe níaffectera aucun marchÈ.

Pour les Parties, il síagit díune opÈration díinvestissement. Les Parties poursuivent ainsi comme objectif díaccroÓtre la valeur de líentreprise pour ses investisseurs.
