SECTION 1.2

Description of the concentration

Pursuant to Article 4 of Council Regulation (EC) No. 139/2004, Acea S.p.A. (ìAceaî) and Ondeo Italia S.p.A. (ìOndeoî and, together with Acea, the ìPartiesî) have notified to the Commission their intention to constitute a full-function joint venture named Acque Blu S.r.l. (the ìJVî). The notified transaction qualifies as an ìoperation of concentrationî within the meaning of Article 3(4) of Council Regulation (EC) No. 139/2004.

Acea, an Italian public utility company controlled by the Municipality of Rome, is active in the production, transmission, trading, distribution and sale of electricity and gas, the management of public lighting systems, the production and provision of district heating, the ìwaste to energyî business. Acea also operates in the provision and management of the Integrated Water Service, which includes water treatment and supply and wastewater collection and treatment (the ìSectorî). Ondeo is an Italian subsidiary of the Suez S.A. (ìSuezî) group, which operates worldwide in the gas and electricity sectors, in energy services and in water and environmental services. In particular, Ondeo is the Suez groupís subsidiary active in the Sector in Italy. Through the Transaction, the Parties will transfer to the JV their current activities in the Sector in the Italian region of Tuscany. The JV will thus be active in the Sector.
