SECTION 1.2

Description of the concentration

The Commission has received the notification of a proposed concentration regarding the acquisition of the share capital of Domidep SAS and its subsidiaries (“Domidep”) by I Squared Capital Advisors (US) LLC (“ISQ”). By virtue of this notified concentration, ISQ will acquire sole control over Domidep within the meaning of Article 3(1)(b) of the EU Merger Regulation.

ISQ is an independent global infrastructure investment manager headquartered in Miami (United States) focusing on sectors such as on the energy, utilities, telecoms and transport in North America, Europe and certain other high-growth economies around the world

Domidep is a company established in 1989 and headquartered in L’Isle d’Abeau (France) which operates retirement homes in France and in Belgium. It provides elderly dependent people with all-inclusive accommodation services and personalised support.
