SECTION 1.2

Description of the concentration

1.1. Greiner AG, Austria ("Greiner"), intends to acquire sole control over Recticel NV/SA, Belgium ("Recticel"), in the meaning of Art 3 EUMR by means of two steps:

-- First, Greiner entered into a SPA with Compagnie de Bois Sauvage ("CBS") to acquire approx. 27% of the shares in Recticel from CBS.

-- Second, Greiner launched a voluntary Public Bid to increase its shareholding in Recticel.

2.2. The business activities of the undertakings concerned are:

-- Greiner:

(i) Manufacturing of plastic packaging for the food and non-food sectors;

(ii) Providing medical technology and life sciences;

(iii) Producing of extrusion lines, tools and complete plants for profile production; and

(iv) Manufacturing polyurethane ("PU") flexible and composite foams.

-- Recticel:

(i) Producing of PU foams;

(ii) Manufacturing of insulation solutions based on rigid PU foams for thermal and acoustic applications in the construction market; and

(iii) Producing and commercialising of mattresses, slats, bed bases and beds.
