SECTION 1.2

Description of the concentration

The proposed transaction involves the acquisition by Bunge Limited, through its subsidiary KBBV, of joint control of the BZ Group, together with SC Frich’Envol and SC One.

The business activities of the undertakings concerned are as follows:

- Bunge is a global agribusiness and food company. Its operations can be divided in four segments: Agribusiness, Refined and Specialty Oils, Milling and Sugar and Bioenergy. Bunge’s activities include the purchase, storage, transport, processing and sale of agricultural commodities and commodity products, most notably oilseeds and grains. Bunge processes oilseeds into vegetable oils and protein meals for the food, animal feed and biodiesel industries. In addition, Bunge's activities include the production of milling products and the production of sugar and bioenergy.

- BZ Group is a French group active in the origination, purchasing, storage and sale of grains, oilseeds and protein crops, as well as in terminal services for such products.
