SECTION 1.2
Description of the concentration
Thornwood Associates Limited Partnership (a Delaware Corporation) intends to acquire control of Federal-Mogul Corporation (a Michigan Corporation), which is currently in Chapter 11 bankruptcy in the United States. Thornwood will obtain stock in exchange for claims it has as a creditor of Federal-Mogul and will acquire a stock option which, if exercised, would result in Thornwood owning indirectly more than 70% of Federal-Mogul. Federal-Mogul is a global supplier of automotive parts, components, modules and systems. Thornwood is not active in the automotive sector.
