1.On April 28th 2016, the European Commission received a project of concentration in accordance with Article 4 of Regulation EC n°139/2004 of the Council, by which SPI – Sociétés de Projets Industriels, would acquire an equity interest in Avril Protein Solutions through which it would hold joint control over Evertree, a full-function joint-venture set up between Avril Protein Solutions, currently a subsidiary of the Avril Group, and Biopolymer Technologies Ltd.
2.Evertree is dedicated to the research and development and the manufacturing and marketing of products and solutions derived from vegetable proteins (oilseed meals) in applications such as additives in the resins used for the manufacture of wood composite boards and more generally in wood adhesives and in any relevant application that could be further developed.
The parties involved in the contemplated transaction are the following:
-- Avril Group, a French based group involved in human food, animal feed, biofuel and biochemical with a well-known experience in the production, extraction, valorization, marketing and sales of vegetable oils and proteins;
-- SPI – Société de Projets Industriels, an investment fund managed by Bpifrance Investissement, a management company authorized to operate (“agréée”) by the Autorité des marchés financiers, the French financial market regulator. SPI’s purpose is to invest in key industrial projects in France.
-- Biopolymer Technologies Ltd., an Israel-based R&D and IP startup having developed and tested a broad range of intellectual property related to the use of protein in applications such as but not limited to wood composite boards and polyurethane foams.
