The proposed concentration concerns the acquisition of joint control over Liikennevirta Oy
("Virta") by (i) E.ON, via its subsidiary E.ON Drive Infrastructure GmbH ("E.ON"), and
(ii) Helen Oy ("Helen") by way of purchase of shares.
E.ON SE is a DAX-listed European energy company based in Essen, Germany. Its activities
are focused on three main business areas: (i) electricity generation from renewable energy
sources, (ii) energy distribution networks and (iii) customer solutions (including electricity
and gas retail supply). E.ON is planning to divest its renewable business to RWE. In addition,
E.ON offers e-mobility services, including the operation of charging stations for electric
vehicles in several EU countries including Germany, Denmark, Norway, Sweden, and
the UK.
Helen, formerly known as Helsingin Energia, is a large Finnish energy company with
headquarters in Helsinki, Finland. Helen's business consists primarily of the production of
electricity, district heating and cooling, as well as energy distribution and sales. In addition,
Helen offers a wide range of services for small-scale energy production and the customers'
own energy use. Since 2012 Helen also offers electric vehicle charging points in Finland.
Virta is a Finnish e-mobility software company headquartered in Helsinki. It provides a range
of services related to the charging of electric vehicles. Virta was founded in 2013 and has
currently 30 employees. It operates primarily in Finland and also has activities in the Czech
Republic, France, Germany, Iceland, Norway, Sweden, Switzerland, and the UK.
