SECTION 1.2

Description of the concentration

By virtue of the notified concentration (the “Concentration”) SoftBank Group (“SoftBank”), headquartered in Tokyo, will indirectly, through SoftBank Investments Advisers (“SBIA”) and SoftBank Vision Fund SVF II Iyuno (DE) LLC (managed by SBIA), enter as a new jointly controlling shareholder in Iyuno Sweden Holding I AB (“Iyuno”), headquartered in Sweden, alongside the previously controlling shareholders, Altor Fund Manager AB (“Altor Fund Manager”), also headquartered in Sweden, and Serenity Holdings Pte. Ltd (“Serenity”), headquartered in Singapore.

SoftBank is the parent company of a global portfolio of subsidiaries and affiliates involved in advanced telecommunications, internet services, Internet of Things, robotics and clean energy technology providers. It currently operates in five main segments: (i) its investment Business of holding companies segment involves the investment activities by SoftBank Group and its subsidiaries; (ii) its SVF1 and other SBIA-Managed Funds segment involves investment activities by SVF1 and SVF2; (iii) its SoftBank segment involves the provision of mobile communication services, sale of mobile devices, broadband and other fixed line communications services in Japan, internet advertising and e-commerce business; (iv) its Arm segment involves the design of microprocessor intellectual property and related technology, the sale of software tools, and the provision of software services; and (v) its Others segment involves the operation of its smartphone payment business, its alternative investment management business, its investment fund business in Latin America and the operation of the Fukuoka SoftBank HAWKS related business.

Altor Fund Manager is the fund manager for inter alia Altor Fund IV which is the Altor fund having made the investment in Iyuno. Altor Fund IV is a private equity fund, which focuses on investments in the mid-market segment of the Nordic region. Altor Fund IV is part of the Altor group of private equity funds. The Altor portfolio companies are active in a variety of industries. Serenity is a holding company whose sole purpose is to own shares in Iyuno.

Iyuno is a global entertainment technology and media localization company. It provides dubbing, subtitling and media engineering services in over 100 languages to the media and entertainment industry. The company operates a network of recording studios worldwide, consisting of 67 fully owned local facilities, spanning across 34 countries in Europe, Asia and the Americas.
