SECTION 1.2

Description of the concentration

1.1. The proposed concentration relates to the acquisition by Endowment Strategies S.a r.l.

(“Endowment Strategies”), or one of its affiliates, of sole control over Benvic Europe S.a.s.,

Benvic Europe S.r.L, Benvic Europe S.I., Benvic Europe GER GmbH, and Benvic Europe BE

SPRL (altogether, “Benvic Europe”).

2.2. Endowment Strategies is a Luxembourg limited liability company, ultimately controlled by

Investindustrial S.A., a holding company acquiring and managing shareholdings in other

companies.

3.3. Benvic Europe is a developer, producer and seller of PVC premix/dry blends, compounds and

alloys.
