SECTION 1.2

Description of the concentration

This notification relates to the proposed acquisition of sole control within the meaning of Article 3(1)(b) of Regulation (EC) No. 137/2004 by DFDS Tor Line Holding AB, a wholly-owned subsidiary of DFDS A/S, over Norfolk Holdings B.V.

The business activities of the undertakings concerned are:

• DFDS A/S operates a sea transport network in Northern Europe. DFDS A/S is ultimately controlled by Lauritzen Fonden also controlling, inter alia, J. Lauritzen A/S involved in ocean transport.

• Norfolk operates a sea transport network in Europe and provides intra-European logistics services from locations across Europe by road, rail, and sea.
