SECTION 1.2

Description of the concentration

Am 23. August 2007 erhielt die Kommission die Anmeldung eines Zusammenschlusses gemäß Artikel 4 der Verordnung des Rates (EG) Nr. 139/2004 („FKVO“), durch den die von der Allianz SE, München/Deutschland, kontrollierte Allianz Global Investors Kapitalanlagegesellschaft mbH, Frankfurt am Main/Deutschland („AllianzGI“), zusammen mit der Xchanging Transaction Bank GmbH, Frankfurt am Main/Deutschland („Xchanging Transaction Bank“), einem Gemeinschaftsunternehmen der Deutsche Bank AG, Frankfurt am Main/Deutschland, und der Xchanging plc, London/Vereinigtes Königreich, die gemeinsame Kontrolle im Sinne des Artikel 3 Absatz 1 lit. (b) FKVO über die bislang von der Allianz Global Investors Kapitalanlagegesellschaft mbH allein kontrollierte Fondsdepot Bank GmbH, Hof/Deutschland („Fondsdepot Bank“), zu erwerben beabsichtigt.

Fondsdepot Bank: B2B-Fondsplattform zur Verwaltung von Investmentfondsdepots für Kapitalanlagegesellschaften sowie Vertriebsgesellschaften, Maklerpools und Independent Financial Advisors (IFAs)
