SECTION 4

Description of the concentration

On 27 November 2024, the European Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (the “EU Merger Regulation”) whereby funds managed or advised by H.I.G. Capital and funds managed or advised by Thoma Bravo propose to acquire joint control of the Target Business within the meaning of Article 3(1)(b) of the EU Merger Regulation, by way of a purchase of most of the assets and 100% of the equity interests of certain subsidiaries comprising the certification business and the business of providing educational content and training of CompTIA (“Target Business” and the “Proposed Transaction”).
