SECTION 1.2

Description of the concentration

Lufthansa Technik AG (“LHT”) and Panasonic Avionics Corporation (“PAC”) plan to establish a newly created full-function joint venture by the name “idair GmbH” (“IDAIR”).

IDAIR will be active in the area of the design, manufacture and supply of certain specialized aircraft cabin equipment.

LHT is a wholly-owned subsidiary of Germany-based Deutsche Lufthansa AG, the holding company of the Lufthansa Group, the principal airline in Germany providing air transport of persons and cargo as well as related services. PAC is a wholly-owned subsidiary of Panasonic Corporation of North America, which in turn is a subsidiary of Panasonic Corporation of Osaka, Japan.

By the proposed creation of the Joint Venture LHT and PAC want to combine their largely complementary activities and know-how in the design, manufacture and supply of certain specialized and customized aircraft cabin equipment. In particular, they aim to create a viable supplier that is able to better compete in the technology-driven high-end markets for customized CMS/IFE systems for VVIP aircraft and customized components for seats for commercial aircraft.
