On August 30, 2024, the European Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No. 129/2004 (the “EUMR”).
The proposed concentration involves the acquisition of joint control (within the meaning of Article 3(1)(b) and 3(4) of the EUMR) over Dali Topco SAS and its subsidiaries (“Orisha”) by, respectively, funds advised by Francisco Partners Management, L.P. (“Francisco Partners”) and funds advised by TA Associates Management, L.P. (“TA Associates”), by way of purchase of shares (the “Proposed Transaction”). Orisha is currently under the sole control of TA Associates.
The primary business activities of the undertakings concerned by the Proposed Transaction are as follows:
• Francisco Partners, headquartered in San Francisco, California, in the United States, is a global investment firm that specializes in partnering with technology and technology-enabled businesses.
• TA Associates, headquartered in Boston, Massachusetts, in the United States, is the registered investment adviser to the TA Associates funds. TA Associates generally invests in five core sectors, namely the technology, financial services, healthcare, consumer, and business services industries in North America, Europe and Asia.
• Orisha, headquartered in Paris, France, is a European software business publisher, almost exclusively active in France, dedicated primarily to companies in the retail, real estate, healthcare, agrifood and construction sectors.
