SECTION 4
Description of the concentration
This notification concerns the following undertakings:
− EP Resources AG ("EPR"), Switzerland, controlled by Mr. Daniel Křetínský; and
− certain assets of the Uniper Group (the "Target").
EPR acquires sole control over the Target within the meaning of Article 3(1)(b) of the Merger Regulation. The concentration is accomplished by an acquisition of the Target represented by certain trading assets.
The business activities of the undertakings concerned are:
− for EPR:
• Commodity trading and shipping.
• Mr. Daniel Křetínský further controls various entities active in various business areas, including energy, media, book publishing, infrastructure, postal and delivery services, e-commerce, food wholesale and retail, wholesale and retail of electronics and other non-food products and video gaming, and others.
− for the Target:
• thermal coal trading; and
• dry bulk freight trading.
