SECTION 1.2

Description of the concentration

This notification relates to the proposed acquisition of sole control within the meaning of Article 3(1)(b) of the Merger Regulation by investment funds managed by affiliates of Apollo Management, L.P. (“Apollo”) over Lumileds Holding B. V. (“Lumileds”).

Affiliates of Apollo invest in companies and debt issued by companies involved in various businesses throughout the world. Examples of current investments include, inter alia, companies in the chemical, cruise line, security, financial and glass packaging businesses.

Lumileds is a global provider of conventional and light emitting diode (“LED”) lighting products. Lumileds products are used in the following main sectors: automotive; mobile phones and portable devices, computer and TV screens; signage and traffic signalling; general purpose lighting. Headquartered in the Netherlands, Lumileds has 9,241 employees; the conventional lighting production facilities are spread across Europe and China, while the LED production facilities are in San José, Singapore and Malaysia.

The business activities of the undertakings concerned are:

-for Apollo: portfolio investments;

-for Lumileds: manufacture of electric lighting equipment.
