SECTION 1.2

Description of the concentration

GHT Mobility GmbH, Berlin, Germany, and Stadtwerke Düsseldorf AG, Düsseldorf, Germany, intend to acquire joint control over CleverShuttle Düsseldorf GmbH, Düsseldorf, Germany, which is currently a 100 % solely-owned subsidiary of GHT Mobility GmbH.

It is intended that Stadtwerke Düsseldorf AG will acquire 50 % of the shares in, and thus together with GHT Mobility GmbH joint control over, CleverShuttle Düsseldorf GmbH. The change in the form of control from sole control to joint control will result in the creation of a joint venture which will provide ride pooling services in the city of Düsseldorf and, thus, perform on a lasting basis all the functions of an autonomous economic entity.

The Notifying Parties are active in the following business areas:

GHT Mobility GmbH: development, marketing and implementation of IT-optimised mobility concepts including IT-optimised passenger transport services with rental cars,

Stadtwerke Düsseldorf AG: supply of electricity, gas, water and district heating, waste management, contracting, natural gas vehicles, electro mobility, energy- related services and public lighting in the area of Düsseldorf,

CleverShuttle Düsseldorf GmbH: public transportation services in the city of Düsseldorf.

GHT Mobility GmbH is majority-owned and directly controlled by Deutsche Bahn AG, Berlin, Germany, which is engaged in Germany in the operation of railway infrastructure and the provision of passenger and freight services, EU-wide in passenger transport by rail and bus and worldwide in freight forwarding and logistics (including freight transport), and the respective ancillary services.

Stadtwerke Düsseldorf AG is majority-owned and directly controlled by EnBW Energie Baden-Württemberg AG, Karlsruhe, Germany, which is engaged EEA-wide in the generation and wholesale supply of electricity, provision of energy supply services and ancillary services, provision of heat and maintenance and repair of technology equipment in the energy sector. There are also activities on the German telecommunication market and to a minor extent in non-EEA countries).
