Description of the concentration

This notification concerns the following undertakings:

DACHSER SE (“DACHSER”), incorporated in Germany, is a logistics company ultimately controlled by Dachser Group SE & Co. KG. DACHSER consists of two main divisions: (i) DACHSER Road Logistics and (ii) DACHSER Air & Sea Logistics: With DACHSER Road Logistics, DACHSER offers transport and logistic solutions across Europe, Turkey, the Maghreb states and the CIS states (except for Russia and Belarus). The DACHSER Air & Sea Logistics division provides logistics services to customers active in a broad range of sectors for the management of their global goods shipment. Furthermore, DACHSER operates a network of contract logistics warehouses in Europe, North Africa, Asia and the United States in which a wide range of goods can be stored. Dachser Group SE & Co. KG is a family-owned company, also incorporated in Germany. It acts as a holding company for DACHSER and other operating entities. It only has very minor own business operations

Frigoscandia AB (“Frigoscandia” or “Target”), incorporated in Sweden, is a provider of temperaturecontrolled logistics mainly in Sweden. It is currently owned by Mutares SE & Co. KGaA.

DACHSER acquires, within the meaning of Article 3(1), point (b) of the Merger Regulation sole control over Target.

The concentration is accomplished by way of purchase of shares.
