SECTION 1.2

Description of the concentration

Avnet Inc. ('Avnet') agreed on 27 September 2007 to acquire Acal plc's IT Solutions division ("AITS"). AITS is active in the wholesale distribution of IT products and services, and comprises two businesses:

(a) Acal Storage Networking; Networks and Security (ìASNSî): a wholesale distributor of storage networking, wired and wireless networking and security products; and

(b) Headway Technology Group (ìHeadwayî): a wholesale distributor of document imaging and management products.

There is a separate entity known as Acal Value Added Services ('AVAS') in the Benelux. It provides a range of support and maintenance and managed services in respect of both the ASNS and Headway businesses.

Avnet is a distributor of electronic components, computer products and technology services. Avnet ñ through its Technology Solutions division ñ also distributes IT products, solutions and services and is present in the European Union.

The market affected by the transaction is the wholesale distribution of IT products and services. The combined expertise of both organisations will allow the new entity to grow and expand its business, in particular through extended product offerings and enhanced technical capabilities.
