SECTION 1.2

Description of the concentration

On 10 September 2019, KKR & Co. Inc. ("KKR"), a corporation registered in the State of Delaware, United States of America, and ARTÀ CAPITAL S.G.E.I.C. S.A. ("ARTÀ CAPITAL"), a corporation registered in Spain, notified their intention to acquire indirect joint control of Grupo Alvic FR Mobiliario, S.L. ("ALVIC"), a company registered in Spain, within the meaning of Article 3(1)(b) of the EU Merger Regulation.

The areas of activities of the undertakings concerned by the notified concentration are as follows:

i. KKR is a global investment firm which offers a broad range of alternative asset management services to public and private market investors and provides capital markets solutions for the firm, its portfolio companies and its clients;

ii. ARTÁ CAPITAL is a Spanish midmarket private equity firm with EUR 800 million under management through its two investment vehicles (Artá Fund I and Artá Fund II).

iii. ALVIC is an independent family-owned industrial group focused on the design, manufacture and distribution of panel-based furniture components for kitchen, bathroom, wardrobes and office materials.
