SECTION 1.2
Description of the concentration
On 17 May 2022, the European Commission received the notification of a proposed transaction pursuant to Article 4 of Council Regulation (EC) No. 139/2004 ("EU Merger Control Regulation") by which Ford Otomotiv Sanayi A.S. ("Ford Otosan") intends to acquire sole control within the meaning of Article 3(1)(b) of the EU Merger Control Regulation over Ford Romania S.A. ("Ford Romania") by way of acquiring shares in Ford Romania.
The primary business activities of the undertakings concerned are as follows:
-- Ford Otosan is an automotive manufacturer and distributor based in Turkey that is equally owned by Ford Motor Company and Ko9 Holding.
-- Ford Romania holds and operates at closing only the assembly plant and automobile manufacturing facility located in Craiova, Romania.
