SECTION 1.2
Description of the concentration
1.On 31 October 2013, the European Commission received the notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (EUMR) by which GDF Suez Energy Services International S.A. (GSES International), belonging to the GDF Suez group acquires within the meaning of Article 3(1)(b) of the EUMR sole control of Balfour Beatty Workplace Limited, Covion Holdings Limited and Colledge Trundle & Hall Limited (and their respective subsidiaries).
2.GSES International is a subsidiary of GDF Suez Energy Services S.A. (GSES). GSES is in turn a wholly-owned subsidiary of GDF Suez S.A.. GSES is one of the business divisions of the GDF Suez group which, through its primary brand Cofely, offers a combination of service expertise, in particular, the provision of facilities management including energy services, designing and implementing solutions which offer businesses, public authorities and communities the means to achieve cost savings, through efficient management of buildings and installations.
3.GDF Suez S.A. is present across the entire energy chain, in electricity and in natural gas, including: (i) purchase, production and commercialization of natural gas and electricity; (ii) transport, distribution, management and development of major natural gas infrastructures; and (iii) design and commercialization of energy services.
4.Balfour Beatty Workplace Limited, Covion Holdings Limited and Colledge Trundle & Hall Limited (and their respective subsidiaries) operate within the support services division of Balfour Beatty plc and primarily provide facilities management services in the UK.
