SECTION 1.2
Description of the concentration
The notification concerns the proposed concentration pursuant to which ACS ACTIVIDADES DE CONSTRUCCIÓN Y SERVICIOS, S.A. (ACS) has presented a voluntary takeover offer to the shareholders in HOCHTIEF AG (HOCHTIEF) and, if the offer is successful, acquire control over HOCHTIEF. ACS’s objective is to acquire at least 50 per cent plus one share in HOCHTIEF. The offer document was published by ACS on 1 November 2010. ACS currently controls 29.98 per cent of the share capital in HOCHTIEF.
ACS is a Spanish-based company active in construction, environmental services, real estate, concessions and industrial and energy services. HOCHTIEF is a German-based firm active in construction, concessions, real estate, and facility and energy management.
