SECTION 1.2

Description of the concentration

On 29 November 2018, the Commission received notification of a proposed concentration pursuant to which there will be a change from sole control by Montagu Private Equity LLP (“Montagu”) over Nemera Capital and its subsidiaries (together with its subsidiaries “Nemera Group”) to joint control by A6 Invest 9 TF, acting on behalf of Astorg Asset Management (“Astorg”), and Montagu, through affiliated companies, within the meaning of Article 3(1)(b) of the EU Merger Regulation.

The business activities of the Parties are as follows:

− Astorg is a private equity investment firm;

− Montagu is a private equity company and a manager of funds;

− Nemera is a manufacturer of plastic drug delivery systems sold to the pharmaceutical, biotech and generic industries.
