SECTION 1.2

Description of the concentration

The Transaction concerns the creation of a full-function joint venture for the design and engineering of a water service advanced smart metering system (so-called smart meter), and its subsequent manufacturing and commercialization in Italy and abroad on the basis of a specific business partnership between Acea and Suez.

The Transaction will be implemented through the establishment of three separate companies co-controlled by Acea and Suez, respectively devoted to (i) the ownership and licensing of the smart meter patent (the “Patent”); (ii) the manufacture and commercialization to the Acea Italian captive market; and (iii) the marketing and distribution to the Italian open market and internationally.

The areas of activities of the parties to the notified concentration are as follows:

(i) Acea operates in integrated water services, the distribution of electricity, public and artistic lighting, the sale of electricity and natural gas, energy production, waste disposal and energy recovery from waste.

(ii) Suez is mainly active in the provision of water, waste, smart solutions and air management.
