SECTION 4

Description of the concentration

The proposed transaction concerns the acquisition of indirect joint control by two investment funds, TA Associates and Stirling Square Capital Partners, as well as Macquarie European Investment Holdings Limited (“MEIHL”) of Byggfakta Group Nordic Holdco AB, including each of their subsidiary undertakings (“Byggfakta Group” or the “Target”), (the “Proposed Transaction”). The Proposed Transaction thus constitutes a concentration under Article 3(1)(b) and Article 3(4) of Council Regulation (EC) 139/2004 (“EUMR”). Each of TA Associates, SSCP, Macquarie and the Byggfakta Group is a “Party”, together the “Parties”. The Proposed Transaction is to be effected by way of a share purchase pursuant to a public bid announced on 5 January 2024.
