SECTION 1.2

Description of the concentration

1.The proposed transaction concerns the acquisition by Mercedes-Benz Financial Services Nederland B.V., a wholly-owned subsidiary of Mercedes-Benz Nederland B.V., which is in turn a wholly-owned subsidiary of Daimler AG ("Daimler"), of the entire share capital of Athlon Car Lease International B.V. ("Athlon").

2.Daimler is a publicly listed company engaged in the development, manufacturing and sale of passenger cars and commercial vehicles, as well as in the provision of automotive financial services, including financing, leasing, insurance and fleet management. Financial services are provided through its business unit Daimler Financial Services.

3.Athlon is headquartered in the Netherlands and (indirectly) owned by De Lage Landen International B.V., which is a wholly-owned subsidiary of Coöperatieve Rabobank U.A., a financial services provider operating on the basis of cooperative principles. Athlon provides car leasing and mobility services. In the EEA, Athlon generates turnover in the Netherlands, Belgium, France, Germany, Italy, Luxembourg, Poland, Portugal, Spain and Sweden.

4.With the proposed transaction, Daimler intends to grow and improve its car leasing and fleet management services in Europe.
