SECTION 1.2
Description of the concentration
This notification concerns proposed acquisition of sole control of Onninen Oy by Kesko Corporation (Kesko Oyj), announced on 12 January, 2016, within the meaning of Article 3(1)(b) of Council Regulation (EC) No 139/2004.
Kesko Corporation will acquire the entire share capital of Onninen Oy. Onninen Oy will be a wholly owned (100 %) subsidiary of Kesko Corporation after the completion of the concentration.
Kesko Corporation is a listed Finnish retailing conglomerate. Kesko Corporation is engaged in the grocery trade, the building and home improvement as well as specialty goods trade, and the car trade. Kesko Corporation is active in the building and home improvement trade by way of its fully owned subsidiary Rautakesko Oy which distributes principally building materials, hardware and home improvement products in Finland, Sweden, Norway, Baltic countries, Russia and Belarus. It manages and develops K-rauta-,Rautia-, Byggmakker-, Senukai- and OMA-retail chains as well as business-to-business sales in the building and home improvement trade sector.
Onninen Oy is a Finnish family-owned company active in the technical wholesale market in Finland, Sweden, Norway, Estonia, Lithuania, Latvia, Poland and Russia. Onninen Oy provides a comprehensive selection of technical products and materials, including HEPAC products (i.e. heating, plumbing, air conditioning and ventilation as well as refrigeration products), electrical and telecommunications products as well as industrial and infrastructure products to contractors, industry, public organizations, technical product retailers and suppliers.
