SECTION 1.2

Description of the concentration

On 11 December 2020, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) 139/2004 by which, within the meaning of Article 3(4) of the Merger Regulation, Netcompany A/S ("Netcompany"), a Danish IT service company, and Københavns Lufthavne A/S ("CPH") a Danish company that owns and operates the airports at Kastrup and Roskilde, Denmark, intend to establish the full-function joint venture SMARTER AIRPORTS.

Netcompany and CPH are both listed on Nasdaq OMX Copenhagen. The parties will have joint control with SMARTER AIRPORTS.

In January 2020, Netcompany and CPH entered into an agreement regarding Netcompany's development and delivery of a new airport management system (the "Platform") intended to replace CPHs current core IT-platform. Completion and delivery of the Platform is currently scheduled for medio 2021.

Netcompany and CPH have on 9 October 2020 formed the equally owned joint venture company SMARTER AIRPORTS A/S which will hold the rights to the Platform and will commercialize and sell the Platform to other airports after the Platform has been delivered and implemented at CPH.

SMARTER AIRPORTS will be active in the provision of IT solutions for airports, and will moreover offer limited IT maintenance and consultancy services as ancillary services related to the Platform.
