SECTION 4

Description of the concentration

This notification concerns the following undertakings:

(i) MOH Holding B.V., incorporated in the Netherlands and fully owned by STX Commodities Holding B.V. (together with other affiliates: "STX"); and

(ii) Marson B.V., incorporated in the Netherlands (together with its subsidiaries: "Marine Olie")

STX intends to acquire, within the meaning of Article 3(1), point (b) of the Merger Regulation, sole control over Marine Olie by way of purcahse of all shares in Marson B.V.

The business activities of the undertakings concerned are:

(i) STX: Headquartered in Amsterdam, the Netherlands, STX is a leading global trader of physical commodities, with a primary focus on biofuels and related products including vegetable oils and fats, and a provider of climate solutions including consulting services, reduction strategies, offsetting solutions and value chain optimization.

(ii) Marine Olie: Headquartered in Moerdijk, the Netherlands, Marine Olie is engaged in collecting, aggregating, blending and trading (vegetable) oils and fats, mainly for use as raw materials for the production of advanced biofuels and biological heating oil (BHO), and for the production of animal feed. Marine Olie operates tank terminals for storage and handling of oils and fats and has an in-house laboratory to quality check incoming and outgoing materials.
