SECTION 1.2

Description of the concentration

1.1. This notification relates to the proposed acquisition of sole control within the meaning of Article 3(1)(b) of the Merger Regulation by Sumitomo Corporation (“Sumitomo”) of Fyffes plc (“Fyffes”).

2.2. Sumitomo is a listed Japanese integrated trading and investing company which, through its corporate group, provides a comprehensive range of services and products in Japan and around the world. Sumitomo is active in the banana industry through its jointly controlled subsidiary Sumifru Singapore Pte. Ltd.

3.3. Fyffes is an Irish-based global company active in the production, procurement, distribution and marketing of bananas, pineapples, melons and mushrooms. Fyffes also supplies ripening services to third parties.

4. The business activities of the undertakings concerned are:

-− for Sumitomo: trading of metal products, transportation and construction of systems, environment and infrastructure, chemicals and electronics, media, networks and lifestyle related goods, mineral resources and energy;

-− for Fyffes: production and distribution of fresh fruit and mushrooms.
