SECTION 1.2

Description of the concentration

On 12 November 2018, the Commission received a joint notification of a proposed concentration pursuant to Article 4 of the EUMR, by which Bergé Automotive Logistics, S.L. (“BAL”) and GEFCO España, S.A. (“GEFCO España”) intended to acquire joint control within the meaning of Articles 3(1)(b) and 3(4) of the EUMR over a newly-created Spanish special purpose vehicle (“SPV”) that would integrate and manage the finished vehicle logistic businesses and assets of both companies in Spain.

The business activities of the undertakings concerned, BAL and GEFCO España, are the provision of logistics services and transport solutions, both being especially active in the provision of logistic services to the automotive sector.

BAL is a subsidiary of the Spanish company Bergé y Cía, S.A., which provides logistics services to the automotive industry in Spain and is especially active in the provision of these services to deal with domestic flows.

GEFCO España is a Spanish subsidiary of the French company, GEFCO, S.A, which apart from providing logistic services to a variety of industries, is also engaged in the provision of integrated logistics services to the automotive industry in Spain, dealing especially with international flows.
