SECTION 1.2

Description of the concentration

1.On 23 January 2019, the European Commission received a notification of a proposed concentration pursuant to Council Regulation (EC) No. 139/2004, by which ADM Arkady Limited ("ADM UK") intends to acquire sole control of Gleadell Agriculture Limited ("Gleadell") through a share acquisition.

2.ADM UK is a wholly-owned subsidiary of Archer Daniels Midland Europe B.V., a company incorporated in the Netherlands, that is part of the Archer Daniels Midland group of companies ("ADM"). ADM is a processor of oilseeds, rapeseed, corn, sugar, wheat and other agricultural commodities and a manufacturer of vegetable oils and fats, vegetable protein, meal, corn, sweeteners, flour, biodiesel, ethanol, and other value added food and feed ingredients.

3.Gleadell is a privately held company, active in the agricultural merchanting sector. Gleadell supplies millers, maltsters, feed compounders and other consumers of grain and is also an exporter of grains, oilseeds and pulses to markets around the world. Gleadell is incorporated in England and Wales.
